Please read these Terms of Service ("Terms") carefully before using any services provided by The Atmosfere ("we," "us," or "our"). By accessing our website at www.theatmosfere.com, using our software products, or engaging us for professional services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

These Terms govern your use of:

• SaaS products — including Job Dossier, StarLedger, and any other software platforms we make available under subscription or access agreements.
• Professional services — consulting, strategy, implementation, and related project-based engagements delivered by The Atmosfere team.
• Website — the content, features, and functionality available at www.theatmosfere.com.

Specific terms for individual products or engagements may be set out in a separate order form, statement of work, or subscription agreement. In the event of conflict, those specific terms take precedence over these Terms.

2. Accounts and Access

Where our SaaS products require account registration, you agree to:

• Provide accurate and complete information when creating your account.
• Keep your login credentials confidential and notify us immediately of any unauthorised access.
• Take responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are used in a manner that poses a security risk to us or other users.

3. Acceptable Use

You agree not to use our services to:

• Violate any applicable law or regulation.
• Transmit harmful, fraudulent, defamatory, or unlawful content.
• Attempt to gain unauthorised access to any system, network, or data.
• Reverse-engineer, decompile, or copy any part of our software or proprietary materials.
• Interfere with the integrity or performance of our services or the data of other users.

We reserve the right to investigate suspected violations and to take appropriate action, including suspension of access.

4. Consulting Engagements

Professional services engagements are governed by these Terms together with a mutually agreed statement of work or engagement letter that sets out scope, deliverables, timeline, and fees. Unless otherwise specified in the engagement agreement:

• Scope changes — any material change to agreed scope must be documented in writing and may affect fees and timelines.
• Client responsibilities — timely provision of information, access, and approvals required for us to deliver the services.
• Payment — invoices are due as specified in the engagement agreement. We reserve the right to pause delivery for materially overdue payments.

5. Intellectual Property

Deliverables. Upon receipt of full payment for a consulting engagement, ownership of the work product and deliverables created specifically for you transfers to you. You may use those deliverables for any lawful purpose.

Pre-existing IP. We retain all rights to our pre-existing tools, frameworks, methodologies, templates, and any background intellectual property that we bring to or develop independently of the engagement. Where such materials are incorporated into deliverables, we grant you a non-exclusive, perpetual licence to use them as part of those deliverables.

Our platforms. All intellectual property rights in our SaaS products — including software, design, algorithms, and documentation — remain exclusively owned by The Atmosfere. Your subscription grants you a limited, non-transferable right to access and use the platform during your subscription term only.

Website content. All content on www.theatmosfere.com, including text, graphics, and logos, is owned by or licenced to The Atmosfere and may not be reproduced without our prior written consent.

6. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components.

7. Limitation of Liability

To the fullest extent permitted by applicable law, The Atmosfere shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or in connection with your use of our services, even if we have been advised of the possibility of such damages. This includes, without limitation, loss of profits, loss of data, business interruption, or loss of goodwill.

Nothing in these Terms excludes or limits liability that cannot be excluded by law.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with these Terms or an engagement, and to use such information solely for the purpose of performing obligations under these Terms. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the UAE.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. For material changes, we will make reasonable efforts to notify active users. Continued use of our services after changes are posted constitutes your acceptance of the revised Terms.
